Welcome to SimplicityPages™! This document outlines the rules for using our service.
Mifo Software, LLC, a California Limited Liability Company ("Company," "we," "us," or "our"), provides an online website builder and hosting platform known as SimplicityPages™ (the "Service"). These Terms of Use ("Terms") govern your access to and use of our Service.
PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN A BINDING ARBITRATION CLAUSE AND A CLASS ACTION WAIVER IN SECTION 10. THIS AFFECTS YOUR LEGAL RIGHTS. By using our Service, you agree to these Terms. If you do not agree, do not use our Service.
Your use of the Service is also governed by our Privacy Policy, which is incorporated here by reference.
If you are using the Service on behalf of an organization or entity, you represent that you have the authority to bind that entity to these Terms. In that case, "you" and "your" will refer to that entity.
(A) Registration: You must create an account to use our Service. You agree to provide an accurate email address and create a password for your login. Registration requires you to verify your email address by clicking a confirmation link sent to you. You must be at least 18 years old or have the approval of a parent or guardian to use our Service. The Service is not intended for individuals under the age of 13.
(B) Account Security and Sub-Accounts: You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use. Users on our Pro and Ultimate plans may create additional user accounts ("Sub-Accounts") via invitation links. As the main account holder, you are fully responsible and liable for the actions and compliance of all users associated with your Sub-Accounts.
(C) Service Plans: We offer several service plans, including but not limited to "Basic," "Pro," and "Ultimate." Features for all plans are described on our website.
(D) Free Trial: A free two-week trial may be available for certain plans, such as the Basic plan. A credit card is not required to start a free trial. If you do not upgrade to a Paid Plan by the end of the trial period, your account and login will be disabled, and any content you created will be permanently deleted.
(E) Fees, Payments, and Renewal: Paid Plans are billed on a monthly subscription basis, though we may offer annual billing cycles in the future.
(F) Refunds: Refunds for cancelled Paid Plans will be provided on a prorated basis, calculated from the unused portion of your monthly billing term.
(A) Our Service: The Service, including our website, software, branding, and all proprietary templates, content, and technology ("Service Content"), is the exclusive property of Mifo Software, LLC and its licensors. We grant you a limited, non-exclusive, revocable license to use the Service as intended.
(B) Our Templates: Our templates are part of the Service Content. You are granted a license to use our templates exclusively for creating and publishing websites on the SimplicityPages™ platform. You may not resell, redistribute, or use our templates as standalone products or on any other platform.
(C) Your Content: You retain all ownership rights to the text, images, and other materials you upload to the Service ("User Content").
(D) Our License to Your Content: By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to host, serve, display, reproduce, and distribute your User Content as necessary for us to provide and operate the Service. This license ends when your content is deleted from our systems.
When using our Service, you agree not to:
(A) Your Responsibility: You are solely responsible for the User Content on any site you create with our Service and for ensuring it complies with all applicable laws and these Terms.
(B) Prohibited Content: You may not create sites that contain or promote:
(C) Our Right to Moderate: We have the right to review User Content and to remove any content or suspend/disable any account (including Sub-Accounts) that we believe, in our sole discretion, violates these Terms.
(D) DMCA / Copyright Policy: We respect intellectual property rights. If you believe your copyright has been infringed, please notify our Copyright Agent at support@simplicitypages.com with the information required by the Digital Millennium Copyright Act (DMCA). We have a policy of terminating the accounts of repeat infringers.
Your sites may contain links to third-party websites or services. We are not responsible for the content or practices of any third-party services.
(A) Termination by You: You can cancel your subscription and terminate your account at any time.
(B) Termination by Us: We reserve the right to suspend or terminate your account for any breach of these Terms. If we determine your content violates our policies, we may provide you with notice to bring the content into compliance. Failure to comply may result in the permanent removal of your account and deletion of all your content.
(C) Effect of Termination: Upon termination, your right to use the Service will cease. We may permanently delete your sites and User Content. Sections of these Terms that by their nature should survive termination will survive.
(A) Disclaimer of Warranties: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. While we strive for maximum uptime and reliability, we do not provide any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
(B) Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL MIFO SOFTWARE, LLC OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE MOST RECENT THREE (3) MONTH PERIOD.
You agree to indemnify and hold harmless Mifo Software, LLC and its officers, directors, and employees from any claims, damages, liabilities, and expenses (including attorney's fees) arising from your use of the Service or your violation of these Terms.
PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHTS.
(A) Agreement to Arbitrate: You and Mifo Software, LLC agree that any dispute arising out of these Terms shall be resolved exclusively through final and binding arbitration in San Diego County, California, rather than in court.
(B) Prohibition of Class Actions: YOU AND MIFO SOFTWARE, LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
(C) Arbitration Procedures: The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules.
(D) Pre-Arbitration Notice: Before initiating arbitration, a party must send a written Notice of Dispute to the other party. The Notice to Mifo Software, LLC should be sent to: Mifo Software, LLC, 1968 Valindo Way, Vista, CA 92084, USA.
(A) Governing Law: These Terms shall be governed by the laws of the State of California, without regard to its conflict of law principles.
(B) Jurisdiction: Any legal action permitted under these Terms will be brought exclusively in the federal or state courts located in San Diego County, California, and the parties consent to the personal jurisdiction and venue there.
(C) Changes to Terms: We may modify these Terms at any time. We will provide notice of material changes. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
